Assistant Counsel
The candidate will provide legal support on a wide variety of corporate matters. Responsible for researching and providing legal advice on a wide variety of issues under the U.S. securities laws/regulations, NYSE listing requirements and general corporate law matters; working with the General Counsel and others in the Corporate Secretarial Department on various corporate secretarial matters, including preparation and review of resolutions, minutes and related materials and performance of other corporate secretarial duties; assisting in the drafting, review and filing with the U.S. Securities and Exchange Commission (the ?SEC?) of Form 10-Ks, 10-Qs and 8-Ks, proxy statements, and Section 16 reports for executives and directors; assisting in securities offerings by company, including preparation, review and filing with the SEC of registration statements for the public offering of securities; drafting, review and negotiation of a various corporate contracts and agreements; working with the General Counsel and others in connection with company?s enterprise risk management process with respect to various legal and regulatory risks; working with the General Counsel and others on various aspects of company?s compliance and ethics program, including the drafting, review and revisions of corporate policies and training; and assisting on other miscellaneous corporate matters from time to time as needed.Estimated Salary: $20 to $28 per hour based on qualifications.

Don't Be Fooled

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
